Baldrige Criteria** Voluntary Participation** As a 50/50 joint venture partnership, we are not subjectto the SOX Act, but we are adopting portions anyway. These standards and programs are integrated, using theBaldrige criteria as a framework, into a single managementsystem. This provides the architecture by which weconduct every aspect of our business. We operate to astandard that exceeds safety and environmental regulatorycompliance of OSHA and the EPA, as well as sets anobjective of continually exceeding the regulatoryexpectations of our customers.Safety is the first priority of PRO-TEC, which starts withgood housekeeping and defined safety requirements. Allour Associates are provided with basic personal protectiveequipment: long-sleeved cotton work uniforms, steel-toedmetatarsal work boots, hard hats, safety glasses, andhearing protection. All confined spaces or danger areas areclearly marked and guarded according to the appropriateregulations with the additional safety precautionsdocumented and enforced.P.1b Organizational RelationshipsP.1b(1) ñ PRO-TEC governance is defined by the jointventure partnership agreement. Support, oversight, anddirection are provided to PRO-TEC by a ManagementCommittee (board of directors) composed of threeexecutives from each of the parent companies. Strategicplans and annual business plans are presented to thisCommittee, and policy, performance, regulatory, andgovernance results are reported at Management Committeemeetings held three times per year.Policy compliance auditing, in the areas of accounting, safety, and environmental, is performed by the USS AuditDivision with audit reports submitted to both of the parentcompanies. An outside auditing firm performs annualfinancial audits also, with its audit reports submitted to theparent companies.P.1b(2) ñ As shown in Figure P.1-6 the customerrequirements are essentially the same within the automotivemarket segment since we adopt the toughest customerstandards as the basis for a common approach to our entireautomotive customer base.
